These Implementation Terms & Service Agreement ("Agreement") govern all implementation, automation, infrastructure management, maintenance, optimization, reporting, and related services provided by AutoPaceX ("AutoPaceX", "we", "our", or "us") to the client ("Client").


By submitting payment for any AutoPaceX implementation service, the Client acknowledges that they have read, understood, and agreed to these terms.

The specific services provided shall be determined by the implementation plan agreed between AutoPaceX and the Client.

Operational audits, recommendations, pricing, implementation availability, and project estimates remain valid for twenty (20) calendar days from the date the audit report is delivered.


If implementation is not initiated within this period, AutoPaceX reserves the right to archive or remove audit-related records, recommendations, project information, and implementation availability.


A new audit may be required before implementation can begin.

Initial Implementation Payment


Fifty percent (50%) of the implementation fee is required before implementation work begins.


The Initial Implementation Payment covers:


• Project planning
• System architecture
• Workflow design
• Configuration
• Development
• Testing
• Implementation activities


Final Implementation Payment


The remaining fifty percent (50%) of the implementation fee becomes due following completion of implementation and presentation of the completed system.


Final production activation, deployment, operational access, and project handover are completed following receipt of the Final Implementation Payment.

Final production activation, deployment, operational access, and project handover are completed following receipt of the Final Implementation Payment.

The Client agrees to provide all information, permissions, platform access, software access, accounts, credentials, operational resources, and approvals reasonably required to complete implementation.


Project timelines may be adjusted if required access, approvals, or information are delayed.


The Client remains responsible for ensuring all provided access is lawful and properly authorized.

07. Implementation Completion & Demonstration

Upon completion of implementation, AutoPaceX will provide notification that the implementation has been completed and is ready for review.


The Client shall be provided with a demonstration, review session, or equivalent presentation of the completed implementation.

until payment obligations have been fulfilled.

If payment is not received within this period, AutoPaceX reserves the right to:


• Suspend implementation services
• Restrict system access

Implementation shall be considered fully complete only after:


• Final payment is received
• Production activation is completed
• Deployment is completed

AutoPaceX reserves the right to withhold activation, deployment, handover, operational access, or related services until all outstanding implementation fees have been paid.

• Suspension of automation infrastructure
• Suspension of managed services

AutoPaceX reserves the right to determine whether requested work falls within the originally agreed scope.

15. Client Responsiveness

If the Client becomes unresponsive for more than thirty (30) calendar days during an active project, AutoPaceX reserves the right to pause, archive, suspend, or terminate the project.

16. Access Revocation

AutoPaceX shall not be responsible for delays, failures, additional costs, or implementation issues resulting from revoked, restricted, modified, or removed access provided by the Client.

17. Refund Policy

The Initial Implementation Payment covers planning, workflow design, configuration, development, testing, and implementation activities.


If AutoPaceX determines that the agreed implementation cannot be completed due solely to limitations, failures, or circumstances within the direct control of AutoPaceX, the Initial Implementation Payment shall be refunded to the Client.


No refund shall be required where implementation cannot be completed due to:


• Failure to provide required access, approvals, information, credentials, permissions, or resources

• Client-requested cancellation

• Client-requested suspension of the project

• Client-requested scope changes

• Third-party platform limitations

• Third-party service outages

• Policy changes imposed by third-party platforms

• Account restrictions imposed by third-party platforms

• Delays caused by the Client

• Circumstances outside the reasonable control of AutoPaceX


If implementation has been partially completed prior to cancellation, AutoPaceX reserves the right to determine any applicable refund amount based upon work completed.


In the event that the Client elects to cancel, discontinue, pause, terminate, or otherwise withdraw from the implementation project after payment has been made, any Initial Implementation Payment already received shall be non-refundable.


Following implementation completion, any Final Implementation Payment received shall also be non-refundable.


The Client acknowledges that implementation resources, planning, development, configuration, testing, infrastructure allocation, and operational capacity are reserved and committed upon project commencement. Accordingly, voluntary project cancellation by the Client shall not create an entitlement to a refund.


Final Implementation Payments and Monthly Infrastructure Management fees are generally non-refundable once the corresponding services have been delivered.


Nothing in this section shall limit the Client's right to receive a refund where AutoPaceX is solely unable to complete the agreed implementation due to causes entirely within the control of AutoPaceX.

AutoPaceX may utilize external software platforms, infrastructure providers, communication services, payment services, artificial intelligence services, hosting services, automation technologies, and other third-party systems as part of service delivery.


AutoPaceX is not responsible for:


• Service interruptions
• Platform outages
• Account restrictions
• Account suspensions
• Security incidents
• Data loss caused by third parties
• API limitations
• Service discontinuation
• Policy changes
• Pricing changes
• Functionality changes
• Changes to third-party services


arising from third-party platforms or services.


The availability, security, performance, conduct, and operation of third-party services remain outside the control of AutoPaceX.

AutoPaceX may utilize external software platforms, infrastructure providers, communication services, payment services, artificial intelligence services, hosting services, automation technologies, and other third-party systems as part of service delivery.


AutoPaceX is not responsible for:

• Cybersecurity incidents
• Third-party infrastructure failures
• Acts of war or civil unrest
